Terms and Conditions on Deletion of Zentopia Account

The Terms and Conditions on Deletion of Zentopia Account (the “Terms”) applies to Zentopia products, services applications and websites (the “Platform” or “Zentopia”). The Platform is provided and controlled by BrainCo Inc. (“BrainCo”, “we” or “us”). The Terms governs deletion of your Zentopia account and related matters.

Please read the Terms carefully before submitting an application for account deletion, especially the highlighted or bold contents. If you have any questions, please contact Zentopia customer service or send email to general@brainco.tech.

Your acceptance of the Terms and clicking the Delete account button indicates that you have read and fully understood all the content of the Terms and indicates that you believe deleting your Zentopia account can help achieve your expected purposes.

After you submit an application for account deletion, we will check your account in accordance with the Terms and relevant instructions. If your account meets the account deletion conditions, we will notify you of the result and start the account deletion process after your confirmation. THIS PROCESS CANNOT BE WITHDRAWN OR REVOKED. If your account does not meet the conditions, we will notify you of the result and the account deletion procedure will be automatically terminated.

1. Account Deletion Conditions

Your Zentopia account cannot be deleted if any of the following conditions exists, except that you have reached consensus with BrainCo in this respect:

· Your account is not registered through our official channels, not registered in line with the Terms of Service, or not your personally registered.

· Your account has violated Terms of Service, any applicable laws or regulations or agreements signed with us, unless you have reached consensus with us in connection with related matters if applicable.

· Your account has risk of being stolen or blocked.

· The relevant earnings or interests in your account have not been settled or properly dealt with, including but not limited to various forms of points, identity rights and interests. PLEASE PROPERLY HANDLE YOUR EARNINGS OR RIGHTS AND INTERESTS, AND IF THEY ARE NOT HANDLED AT THE TIME OF DELETION, YOU ARE DEEMED TO HAVE VOLUNTARILY GIVEN UP SUCH EARNINGS OR RIGHTS AND INTERESTS.

· Overdue payments, over-issued invoices, pending payments, or remaining balance.

· Contracts pending for performance, active orders, resources in use, or reserved instances.

· Applications in progress (including but not limited to applications of new orders, unsubscriptions/ withdrawals, etc.).

· Your account has unpaid taxes and there are no unfulfilled obligations in accordance with applicable laws and regulations.

· Your account has any disputes, including being listed in complaints reported by third parties, being investigated by government agencies, or being involved in  litigation or arbitration procedure.

IF YOUR ACCOUNT HAS BEEN LISTED IN COMPLAINTS REPORTED BY THIRD PARTIES, BEING INVESTIGATED BY GOVERNMENT AGENCIES, OR BEING INVOLVED IN LITIGATION OR ARBITRATION PROCEDURE, WE HAVE THE RIGHT TO TERMINATE THE DELETION OF YOUR ZENTOPIA ACCOUNT AT OUR OWN DISCRETION WITHOUT THE NEED TO OBTAIN YOUR CONSENT.

2. Account Deletion Procedure

2.1. Self-check

Before you submit the application for account deletion, please check whether your account meets the account deletion conditions specified in Section 1 of the Terms; otherwise, your account deletion process may be terminated due to failure to meet the deletion conditions.

2.2. Deletion method selection

For account security purposes, only you can delete your Zentopia account. If the account does not meet the conditions specified in Section 1 of the Terms and you still want to delete it, you may contact Zentopia customer service.

In order to protect your account security, we may need to carry out identity verification of the deletion application to ensure that the account is registered by you. If we find that you do not meet the conditions specified in Section 1 of the Terms or the identity verification fails after our comprehensive judgement, your account deletion may fail, in which case you can follow our guidelines for subsequent operations or contact customer service to assist in processing.

2.3. Account deletion process

· Application submission

After confirming that the conditions specified in Section 1 of the Terms have been met, log in to the Zentopia app, go to My Account, click Settings, click Delete Account, read the Terms carefully before acceptance, and submit the account deletion application.

· Check

We will automatically check your account in accordance with the account deletion conditions. The processing period for account deletion is 15 days, and within 15 days after you have successfully submitted an application for account cancellation to us (counting from the time of successful submission of the application), the account will be deleted except as otherwise specified in the Terms.

· Check Result Notification

If your account meets the account deletion conditions, we will notify you of the result by email, SMS, or other reasonable methods and start the account deletion process.

THE CHECKING OF YOUR ACCOUNT IN ACCORDANCE WITH THE CONDITIONS ABOVE IS PRELIMINARY AND TO THE EXTENT OF FORMALITIES REVIEW. COMPLIANCE WITH THE ACCOUNT DELETION CONDITIONS DOES NOT MEAN THAT BRAINCO MATERIALLY ACCEPTS THE RESULT OR WAIVES ANY RIGHTS ENTITLED BY LAWS OR AGREEMENTS, NOR DOES BRAINCO AFFIRM THAT ANY OPERATIONS AND RESPONSIBILITIES ARISING OUT OF YOUR ACCOUNT BEFORE THE DELETION PROCESS ARE EXEMPTED OR MITIGATED, INCLUDING BUT NOT LIMITED TO ANY OVERDUE PAYMENTS, ENTRUSTED PAYMENTS, AND UNPAID TAXES.

If your account does not meet the account deletion conditions, we will notify you of the failed conditions by email, SMS, or other reasonable methods. The account deletion procedure will be automatically terminated and will not be restarted. If you still want to delete the account, you may submit another application.

· In the event that you fulfill the conditions above, if your Zentopia account is listed in complaints reported by third parties, is investigated by government agencies, is involved in a litigation or arbitration procedure, or fails to meet the conditions for account deletion after the account check, we reserve the right to terminate the account deletion process without your consent before the deletion procedure is formally completed.

3. Legal Consequences of Account Deletion

3.1. Your account deletion procedure will start after you confirm that you accept the Terms.

3.2. When the account deletion procedure is completed, all related contractual relationships between you and BrainCo are terminated. The consequences of account deletion include but are not limited to the following:

· You will not be able to use this account to log in to the Zentopia website, app, etc.

· You will not be able to perform any operations that require the account access.

· You will not be able to retrieve the personal information, transaction records, business data, and historical information under the account, which will be deleted or anonymized once your account is deleted unless otherwise provided by laws and regulations, or otherwise required by government agencies.

· You will not be able to use Zentopia services.

· Your rights and interests that have been generated but not yet consumed during the period of using Zentopia products and services will be relinquished.

NOTWITHSTANDING SECTION 3 OF THE TERMS, THE DELETION OF YOUR ACCOUNT DOES NOT MEAN THAT ALL YOUR ACCOUNT OPERATIONS AND RESPONSIBILITIES BEFORE ACCOUNT DELETION ARE EXEMPTED OR MITIGATED.

3.3. At the end of the day on which your account is deleted, BrainCo has provided services in accordance with contracts and active orders reached between the parties, without breaching any contracts.

3.4. We will delete your data and immediately stop collecting, storing, and using your personal information and other data, except as otherwise required by applicable laws and regulations or industry standards, including but not limited to legal request or obligation, governmental investigation, legal claim, complaint, litigation or regulatory proceedings, or other legitimate purposes, such as to prevent harm; investigate possible violations of our terms or policies; promote safety, security and integrity; or protect ourselves, including our rights, property or products.

3.5. The account cannot be recovered once it is deleted. Please back up all account-related business information and data before you delete your account. We will not be liable for any loss of data or information caused therefrom.

4. Others

4.1. For any matters not covered herein shall be settled by Zentopia Privacy Policy and Terms of Service and relevant guidance and instructions of the Platform during the deletion process.

DELETION OF YOUR ACCOUNT DOES NOT MEAN THAT BRAINCO MATERIALLY ACCEPTS THE RESULT OR WAIVES ANY RIGHTS ENTITLED BY LAWS OR AGREEMENTS, NOR DOES BRAINCO AFFIRM THAT ANY OPERATIONS AND RESPONSIBILITIES ARISING OUT OF YOUR ACCOUNT BEFORE THE DELETION PROCESS ARE EXEMPTED OR MITIGATED.

4.2. If your account deletion causes any loss to us, you shall compensate for the loss and exempt us and its directors, employees, agents, partners, and suppliers from any third-party liabilities arising therefrom.
